1. Acceptance and scope
These Terms of Use (the “Terms”) are a binding agreement between you and Gridspawn LLC (“Gridspawn,” “we,” “us,” or “our”) governing your access to and use of AEXGrid, including its desktop software, websites, documentation, dashboard, hosted account and connection services, downloads, and updates (collectively, the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization. Additional written terms may apply to a paid plan, enterprise deployment, beta, or separately offered feature.
2. Service operator
AEXGrid is owned and operated by Gridspawn LLC, 5830 E 2ND ST STE 7000 32269, Casper, WY 82609, United States. Current contact routes are published on the Gridspawn company page linked from AEXGrid’s Contact page.
3. Eligibility and accounts
You must be legally able to enter into these Terms and comply with applicable law. You are responsible for accurate account information, safeguarding credentials and devices, and all activity under your account unless you promptly report unauthorized use. Do not share access in a way that bypasses account, plan, or security controls.
4. Software license and updates
Subject to these Terms, Gridspawn grants you a limited, non-exclusive, non-transferable, revocable license to install and use AEXGrid for its intended purpose. You may not sell, sublicense, rent, circumvent technical restrictions, interfere with security, or reverse engineer the Service except where applicable law or an open-source license expressly permits it.
AEXGrid may install or offer updates that change features, compatibility, security requirements, or supported providers. Third-party and open-source components remain governed by their own licenses. A source build is not necessarily a signed or supported release.
5. Agent instructions, output, and your responsibility
You choose workspaces, prompts, providers, models, tools, permissions, connected applications, and agent actions. You are responsible for reviewing instructions, proposed actions, generated code, files, messages, and other output before relying on or distributing them. Automated or artificial-intelligence output may be incomplete, inaccurate, insecure, or unsuitable for your purpose.
Maintain appropriate backups and independent review. The Service is not a substitute for professional legal, medical, financial, security, or other expert advice, and you must not rely on agent output as such advice.
6. Acceptable use
You may not use the Service to violate law or another person’s rights; access systems, accounts, files, or communications without authorization; distribute malware or harmful code; exploit or disrupt the Service; evade limits or security controls; impersonate others; facilitate fraud, harassment, or abuse; or direct agents to perform conduct that you could not lawfully perform yourself.
You may conduct authorized security research only within systems you own or are expressly permitted to test. You must respect provider, application, repository, network, and workplace policies that apply to your use.
7. Workspaces and user content
You retain ownership of files, prompts, plans, task data, and other content you provide or create (“User Content”). You grant Gridspawn only the limited rights reasonably necessary to operate, secure, support, and improve the Service, and only for as long as needed for those purposes or required by law.
You represent that you have the rights needed to provide User Content and authorize the actions you request. AEXGrid can modify or delete files within the permissions you grant, so you are responsible for workspace selection, access control, source control, and backups.
8. Providers and third-party applications
AEXGrid connects to independent model providers, command-line tools, repositories, and applications selected by you. Their services, accounts, subscriptions, output, availability, data practices, and charges are governed by their own terms. Gridspawn does not include or resell provider usage unless a published plan expressly says so.
When you connect or authorize a third-party service, you direct AEXGrid to exchange the information and actions needed for that connection. Gridspawn is not responsible for third-party services and does not endorse an integration merely because AEXGrid can connect to it.
9. Permissions, managers, and connected tools
Roles, specialties, task assignments, collaboration links, and manager status coordinate work inside AEXGrid; they do not create operating-system, provider, repository, or application authority. You are responsible for granting the least authority necessary and reviewing the tools and applications available to each agent.
Tool receipts, queued messages, and launch acknowledgements do not prove that work completed or that output is correct. Agents may misunderstand or fail to follow instructions. Durable review and evidence remain your responsibility.
10. Dashboard and direct connections
The dashboard may connect an authenticated browser to an available desktop workspace. Availability depends on the signed-in host, supported versions, device and account admission, and network conditions. You may use remote access only with accounts, devices, and workspaces you are authorized to access.
The Service is not a general-purpose remote desktop and does not guarantee that a connection will be continuous, immediate, or available on every network. You are responsible for securing the host device and ending access when it should no longer be available.
11. Local state, retention, and backups
AEXGrid stores substantial workspace and application state locally. Hosted services may retain account, device, connection, security, and support information as described in the Privacy Policy. Limits may apply to transcripts, tasks, plans, tool results, and retained agents. The Service is not an archival or backup service, and Gridspawn does not guarantee recovery of local or hosted data.
12. Plans, fees, and taxes
The current AEXGrid early build is free, including all currently available features. AI provider subscriptions, API usage, and charges imposed by applications you connect are separate and remain your responsibility.
13. Gridspawn rights and feedback
The Service, branding, interface, documentation, and related technology are owned by Gridspawn or its licensors, excluding User Content and third-party components. If you provide feedback, you permit Gridspawn to use it without restriction or compensation, provided we do not identify you publicly without permission.
14. Suspension and termination
You may stop using the Service at any time. We may restrict or terminate hosted access when reasonably necessary to protect users or systems, comply with law, address nonpayment, investigate abuse, or enforce these Terms. Where practical, we will provide notice and an opportunity to remedy the issue. Provisions that by their nature should survive termination will survive.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” GRIDSPAWN DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OPERATION, ERROR-FREE OUTPUT, PROVIDER AVAILABILITY, COMPATIBILITY, OR THAT AGENT ACTIONS WILL PRODUCE AN INTENDED RESULT.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIDSPAWN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM THE SERVICE. GRIDSPAWN’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID GRIDSPAWN FOR AEXGRID DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain exclusions, so these limits apply only to the extent permitted.
17. Indemnification
To the extent permitted by law, you will defend and indemnify Gridspawn from third-party claims, losses, and reasonable costs arising from your User Content, your unlawful or unauthorized use of the Service, your violation of these Terms, or your violation of another person’s rights. This does not apply to the extent a claim results from Gridspawn’s own conduct.
18. Governing law and disputes
These Terms are governed by the laws of Wyoming, United States, without regard to conflict-of-law rules. Courts located in Wyoming will have exclusive jurisdiction over disputes, unless applicable consumer law gives you the right to bring a claim elsewhere. Before filing a claim, the parties should attempt in good faith to resolve it through the published contact route. Nothing here limits rights that cannot legally be waived.
19. Changes and contact
We may update these Terms to reflect changes in the Service, law, or risk. We will publish the effective date and provide additional notice when legally required. Continued use after an update takes effect constitutes acceptance where permitted by law.
